Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of the TecSynth website at tecsynth.net and the provision of software development, AI systems engineering, automation, and technical consulting services by TecSynth ("we", "us", "our") to clients ("you", "Client").

By submitting an enquiry or project intake form, or by entering into a service agreement with us, you acknowledge that you have read and accept these Terms.

2. Services

TecSynth provides software engineering and consulting services including, but not limited to: enterprise web development, custom software and API development, autonomous AI systems, workflow automation, cloud infrastructure engineering, and technical consulting.

The specific scope, deliverables, timeline, and commercial terms of any engagement are defined in a separate Statement of Work (SOW) or Service Agreement, which takes precedence over these general Terms where there is a conflict.

3. Enquiries and Project Intake

Submitting a contact or project intake form on this website does not constitute a binding agreement. It initiates a discovery process. No contractual obligation arises until both parties have signed a written Statement of Work or Service Agreement.

We reserve the right to decline any enquiry or project without providing a reason.

4. Intellectual Property

Unless otherwise agreed in a signed Statement of Work:

  • Upon receipt of full payment, TecSynth assigns to the Client all intellectual property rights in bespoke code and deliverables created specifically for the Client under the engagement.
  • TecSynth retains ownership of its pre-existing tools, frameworks, libraries, and methodologies. Where these are incorporated into deliverables, a perpetual, non-exclusive licence is granted to the Client.
  • Open source components included in deliverables are governed by their respective licences, which the Client is responsible for complying with.

5. Confidentiality

Both parties agree to treat confidential information shared during an engagement — including technical specifications, business data, pricing, and project details — as strictly confidential and not to disclose it to third parties without written consent. This obligation survives the termination of any engagement.

6. Payment Terms

Payment terms are defined in each Statement of Work. Where not otherwise specified:

  • Invoices are payable within 14 days of issue.
  • Late payments accrue interest at 8% per annum above the European Central Bank base rate, in accordance with EU Late Payment Directive 2011/7/EU.
  • TecSynth reserves the right to suspend services on accounts with outstanding overdue balances exceeding 30 days.

7. Client Responsibilities

To enable TecSynth to deliver services effectively, the Client agrees to:

  • Provide accurate and complete project requirements in a timely manner
  • Designate a technical point of contact with authority to make decisions
  • Provide necessary access to systems, credentials, and environments required for delivery
  • Provide timely feedback and approvals at defined review stages
  • Ensure that any data provided does not infringe third-party rights and complies with applicable data protection laws

8. Limitation of Liability

To the fullest extent permitted by applicable law:

  • TecSynth's total liability to the Client under or in connection with any engagement shall not exceed the total fees paid by the Client under that engagement in the 3 months preceding the claim.
  • TecSynth shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Termination

Either party may terminate an engagement with 30 days' written notice, unless otherwise specified in the Statement of Work. Upon termination, the Client is liable for payment of all work completed to the termination date. TecSynth will deliver all completed work products upon receipt of final payment.

The content on this website is provided for informational purposes only. TecSynthmakes no warranties regarding the accuracy, completeness, or fitness for purpose of website content. Use of this website is at your own risk.

You must not use this website in any way that is unlawful, harmful, or that infringes the rights of others.

11. Governing Law and Jurisdiction

These Terms and any disputes arising from them are governed by the laws of the European Union and the jurisdiction in which TecSynth is registered, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. Changes take effect when published on this page. Continued use of our services following a change constitutes acceptance of the revised Terms.
